现代企业制度研究所作为中国留学人才发展基金会一带一路研究院法律服务频道、中国亚洲经济发展协会亚洲贸易馆法律服务中心建设管理单位,与一带一路研究院、亚洲贸易馆有着良好的合作关系,本着信息共享、专家共通、项目共建的原则,更好的利用各方面资源为本所合作企业服务。

为了积极推动以中国式现代化全面推进强国建设、民族复兴伟业,推进我国新时代人才强国战略的深入实施,促进留学人员事业的健康发展,由欧美同学会(中国留学人员联谊会)发起,经国务院批准,中国留学人才发展基金会于2007年在北京人民大会堂正式成立。第十二届全国人大常委会委员、副秘书长、外事委员会副主任委员曹卫洲同志担任中国留学人才发展基金会理事长,欧美同学会党组书记、秘书长李民同志担任中国留学人才发展基金会监事长,欧美同学会党组成员庄亮同志担任中国留学人才发展基金会副理事长兼秘书长。

中国亚洲经济发展协会(以下简称“协会”)是由中华人民共和国外交部指导成立、国家民政部登记的全国一级社团法人机构。其前身是1993年成立的”中韩经济发展协会”,2009年8月更名为“中日韩经济发展协会”,2016年5月更名为“中国亚洲经济发展协会”。协会宗旨是组织和协调会员企业积极地开展同亚洲各国工商企业界的交往,开展双方乃至多方的经济、文化交流合作,增进彼此之间的了解和友谊,为中国和亚洲国家的经济发展做出贡献。协会现由顾秀莲、唐家璇、贾春旺、李蒙等原高层领导担任协会荣誉会长;石广生、张秀夫、钱树根、李德洙等领导担任协会名誉会长。多年从事国际经贸工作的权顺基担任协会会长,刘红路担任执行会长,陈军担任常务副会长兼秘书长。

As the legal service channel of the Belt and Road Research Institute of China Overseas Students Development Foundation and the construction management unit of the legal service center of the Asian Trade Center of the Asian Economic Development Association of China, the Institute of Modern Enterprise System has a good cooperative relationship with the Belt and Road Research Institute and the Asian Trade Center, and makes better use of all resources to serve the cooperative enterprises of the Institute in line with the principles of information sharing, experts sharing and project co-construction.

In order to actively promote the construction of a strong country and the great cause of national rejuvenation with Chinese modernization, promote the in-depth implementation of China’s strategy of strengthening the country with talents in the new era, and promote the healthy development of the cause of overseas students, the China Overseas Students Development Foundation was formally established in the Great Hall of the People in Beijing in 2007, initiated by the European and American Alumni Association (China Overseas Students Association) and approved by the State Council. Cao Weizhou, member of the 12th the National People’s Congress Standing Committee (NPCSC), Deputy Secretary-General and Vice Chairman of the Foreign Affairs Committee, served as the chairman of the China Overseas Students Development Foundation, Li Min, Party Secretary and Secretary General of the European and American Alumni Association, served as the supervisor of the China Overseas Students Development Foundation, and Zhuang Liang, Party member of the European and American Alumni Association, served as the vice chairman and secretary general of the China Overseas Students Development Foundation.

China Asian Economic Development Association (hereinafter referred to as “Association”) is a national first-class corporate organization established under the guidance of the Ministry of Foreign Affairs of People’s Republic of China (PRC) and registered by the Ministry of Civil Affairs. Its predecessor was the China-Korea Economic Development Association, which was established in 1993. In August 2009, it was renamed the China-Japan-Korea Economic Development Association, and in May 2016, it was renamed the China Asian Economic Development Association. The purpose of the Association is to organize and coordinate member enterprises to actively carry out exchanges with the industrial and commercial circles of Asian countries, carry out economic and cultural exchanges and cooperation between the two sides and even many parties, enhance mutual understanding and friendship, and make contributions to the economic development of China and Asian countries. Gu Xiulian, Tang Jiaxuan, Jia Chunwang, Mona Lee and other former senior leaders are now honorary presidents of the Association. Shi Guangsheng, Zhang Xiufu, Qian Shugen, Li Dezhu and other leaders served as honorary presidents of the Association. Quan Shunji, who has been engaged in international economic and trade for many years, is the president of the association, liuhong Road is the executive president, and Chen Jun is the executive vice president and secretary general.

一、以“现代企业制度建设”为核心优势,立足区域经济发展格局,深度融合国内外市场需求,为企业提供覆盖全生命周期、横跨境内外业务的综合性服务,助力企业构建科学治理体系,实现合规、稳健、国际化发展。具体服务内容如下:

一、现代企业制度建设与优化

(一)国内企业制度体系构建

1. 基础治理架构搭建:依据《公司法》及相关法规,结合企业行业特性与发展战略,协助企业设计现代企业治理结构,包括股东会、董事会、监事会及管理层的权责划分,制定议事规则、决策流程及内部监督机制,推动企业实现规范化、科学化管理。
2. 党建制度融合设计:针对国有企业、混合所有制企业,将党建工作深度融入企业治理,构建“党建 + 企业管理”双轨并行体系。协助制定党组织参与重大决策的工作机制、党建工作责任制及党员先锋模范作用发挥方案,确保企业发展与党和国家方针政策同频共振 。
3. 管理制度标准化建设:围绕企业运营全流程,制定涵盖人力资源、财务、行政、生产、供应链等领域的标准化管理制度,规范企业日常运营流程,提升运营效率与风险防控能力。

(二)跨境投资企业制度适配

1. 境外投资合规体系:为国内企业对外投资量身打造合规管理体系,涵盖境外公司设立、股权架构设计、合规政策制定、境外员工管理等内容,确保企业符合投资目的地国家或地区的法律、税务、环保、劳工等要求。
2. 跨境协同治理机制:针对跨国企业集团,设计境内外机构协同管理机制,优化跨境业务流程、资金调配、信息传递规则,解决跨境管理中的制度冲突与文化差异问题,实现高效协同运作。

二、跨境投资全流程服务

(一)前期战略规划与政策支持

1. 投资政策研究与解读:组建专业政策研究团队,深度剖析不同国家及国内的投资政策、产业导向、税收优惠、市场准入规则,为企业投资决策提供政策依据;协助企业申请国家及地方政府的对外投资专项补贴、税收减免等政策支持。
2. 投资可行性分析:结合目标市场的政治、经济、社会、法律环境,为企业提供投资项目可行性研究服务,包括市场前景预测、技术适配性分析、财务效益评估、风险预警等,辅助企业制定科学投资策略。

(二)投资风险管控与尽职调查

1. 跨境尽职调查:对投资合作对象开展全方位尽职调查,除企业基本信息、财务状况、法律合规性审查外,重点关注目标企业在当地的劳工关系、环保合规、知识产权纠纷、潜在诉讼风险等,形成深度分析报告,揭示投资风险并提出应对建议。
2. 风险防控体系建设:针对跨境投资中的政治风险、汇率风险、法律风险、经营风险等,设计风险识别、评估、预警及应对方案,建立风险防控长效机制,如投保海外投资保险、设置汇率对冲工具、制定应急预案等。

(三)项目落地与运营支持

1. 境外公司设立与审批:协助企业完成境外公司注册登记、税务登记、银行开户、资质申请等手续,协调解决跨境审批流程中的问题,确保项目快速落地;提供境内对外投资备案、外汇登记等全流程指导服务。
2. 投后管理与合规辅导:为境外投资企业提供持续合规辅导,定期开展合规检查与审计,协助企业适应投资地监管环境;针对企业运营中的重大决策,如并购重组、股权变更等,提供法律与制度层面的优化建议。

1. 跨境交易文件定制:为国际货物贸易、技术转让、服务贸易等跨境交易,量身定制合同协议、保密协议、特许经营协议等法律文件,结合亚洲国家等不同法域特点,明确交易双方权利义务,规避法律漏洞。
2. 国际商事纠纷解决:建立“协商 – 调解 – 仲裁 – 诉讼”阶梯式纠纷解决机制,联合国内外优质律所资源,为企业提供跨境纠纷全流程代理服务;针对复杂跨境争议,提供多法域法律适用分析与策略制定服务。

(二)知识产权全链条保护

1. 跨境知识产权布局:基于企业国际市场布局,制定商标、专利、著作权等知识产权的跨境申请、注册策略,规划全球知识产权保护网络;协助企业处理知识产权海关备案、边境保护等事务。
2. 侵权应对与维权:针对跨境知识产权侵权行为,开展侵权调查、证据固定,通过行政投诉、司法诉讼、跨境禁令等手段维护企业权益;提供知识产权跨境交易(如许可、转让)的法律审核与风险防控服务。

1. 高端商务交流平台:定期举办“一带一路企业治理峰会”等活动,邀请国内外政策制定者、行业专家、企业领袖参与,为企业搭建政策解读、经验分享、资源对接的高端平台。
2. 全球服务网络协同:整合国际律所、会计师事务所、咨询机构、行业协会等资源,构建全球服务网络,为企业提供一站式跨境服务;针对企业特殊需求,提供个性化资源匹配与协同服务。

五、前沿政策与法律研究服务

1. 国别法律数据库建设:持续收集、整理亚洲国家的法律法规、司法判例、政策动态,建立国别法律数据库,为企业提供实时、精准的法律信息检索服务。
2. 专题研究与报告:针对跨境投资热点问题(如ESG合规、数字贸易规则)、新兴产业(如新能源、人工智能),开展专项研究并发布行业报告,为企业提供前瞻性决策参考。

我们聚焦中国中小型企业需求,整合优质律所、会计师事务所、金融机构、知识产权等专业机构,组建“现代企业服务团”,提供一站式高效服务,助力企业稳健发展:

1. 财税服务:为中小企业量身定制财务、税务策划方案,涵盖账务代账、工商注册、注销处理、税务合规、节税规划,助力企业优化成本,降低财税风险。
2. 法律服务:专业律师团队提供法律咨询,起草、审核合同协议,处理劳动纠纷,协助企业规避经营风险,保障合法权益。
3. 人力资源管理:提供人力资源规划、招聘培训、薪酬绩效体系设计等咨询服务,帮助企业完善人才管理机制,提升团队效能。
4. 数字化建设:专业团队承接网站、APP建设业务,结合企业需求进行功能开发与界面设计,助力企业提升数字化形象与线上运营能力。

Taking “modern enterprise system construction” as the core advantage, based on the regional economic development pattern, deeply integrating domestic and foreign market demand, providing enterprises with comprehensive services covering the whole life cycle and spanning domestic and foreign businesses, helping enterprises to build a scientific governance system and realize compliance, stability and international development. The specific services are as follows:

First, the construction and optimization of modern enterprise system

(A) the construction of domestic enterprise system

  1. Construction of basic governance structure: According to the Company Law and relevant laws and regulations, combined with enterprise industry characteristics and development strategy, assist enterprises to design modern corporate governance structure, including the division of powers and responsibilities of shareholders’ meeting, board of directors, board of supervisors and management, formulate rules of procedure, decision-making process and internal supervision mechanism, and promote enterprises to achieve standardized and scientific management.
  2. Integration design of party building system: For state-owned enterprises and mixed-ownership enterprises, party building work will be deeply integrated into corporate governance, and a dual-track parallel system of “party building+enterprise management” will be built. Assist in formulating the working mechanism for Party organizations to participate in major decision-making, the responsibility system for Party building and the plan for party member’s pioneering and exemplary role, so as to ensure that the development of enterprises resonates with the principles and policies of the Party and the state.
  3. Standardization of management system: around the whole process of enterprise operation, formulate standardized management systems covering human resources, finance, administration, production, supply chain and other fields, standardize the daily operation process of enterprises, and improve operational efficiency and risk prevention and control capabilities.

(B) Cross-border investment enterprise system adaptation

  1. Compliance system for overseas investment: A compliance management system is tailored for domestic enterprises’ overseas investment, covering the establishment of overseas companies, the design of equity structure, the formulation of compliance policies, the management of overseas employees, etc., to ensure that enterprises meet the legal, tax, environmental protection, labor and other requirements of investment destination countries or regions.
  2. Cross-border collaborative governance mechanism: For multinational enterprise groups, design a collaborative management mechanism for domestic and foreign institutions, optimize cross-border business processes, fund allocation and information transmission rules, solve the problems of institutional conflicts and cultural differences in cross-border management, and realize efficient collaborative operation.

Second, cross-border investment whole process services

(A) early strategic planning and policy support

  1. Research and interpretation of investment policy: set up a professional policy research team to deeply analyze the investment policies, industrial orientation, tax incentives and market access rules of Belt and Road countries and domestic countries, and provide policy basis for enterprise investment decisions; Assist enterprises to apply for special subsidies for foreign investment, tax relief and other policy support from the state and local governments.
  2. Investment feasibility analysis: combining with the political, economic, social and legal environment of the target market, provide enterprises with investment project feasibility research services, including market prospect prediction, technology suitability analysis, financial benefit evaluation, risk early warning, etc., and assist enterprises to formulate scientific investment strategies.

(2) Investment risk management and due diligence

  1. Cross-border due diligence: Conduct all-round due diligence on investment partners, focusing on local labor relations, environmental compliance, intellectual property disputes and potential litigation risks of the target enterprise in addition to reviewing the basic information, financial status and legal compliance of the enterprise, forming an in-depth analysis report, revealing investment risks and putting forward countermeasures.
  2. Construction of risk prevention and control system: In view of the political risk, exchange rate risk, legal risk and operational risk in cross-border investment, design risk identification, evaluation, early warning and response plans, and establish a long-term mechanism for risk prevention and control, such as taking out overseas investment insurance, setting up exchange rate hedging tools and formulating emergency plans.

(III) Project Landing and Operation Support

  1. Establishment and approval of overseas companies: assist enterprises to complete the procedures of overseas company registration, tax registration, bank account opening and qualification application, coordinate and solve the problems in the cross-border approval process, and ensure the rapid landing of projects; Provide full-process guidance services such as domestic and foreign investment filing and foreign exchange registration.
  2. Post-investment management and compliance counseling: provide continuous compliance counseling for overseas investment enterprises, conduct compliance inspection and audit on a regular basis, and help enterprises adapt to the regulatory environment for investment. Provide legal and institutional optimization suggestions for major decisions in enterprise operations, such as mergers and acquisitions, equity changes, etc.

(1) International economic and trade legal affairs

  1. Customization of cross-border transaction documents: For cross-border transactions such as international trade in goods, technology transfer, and service trade, legal documents such as contract agreements, confidentiality agreements, and franchise agreements are tailored, and the rights and obligations of both parties to the transaction are defined in combination with the characteristics of different jurisdictions such as China, Japan, South Korea, and ASEAN, so as to avoid legal loopholes.
  2.   2. Infringement response and rights protection: for cross-border intellectual property infringement, conduct infringement investigation and evidence fixation, and safeguard the rights and interests of enterprises through administrative complaints, judicial proceedings and cross-border injunctions; Provide legal review and risk prevention and control services for cross-border transactions of intellectual property rights (such as licensing and transfer).

IV. Integration and docking of international business resources

  1. High-end business exchange platform: Hold the “Belt and Road Corporate Governance Summit” and other activities regularly, invite domestic and foreign policy makers, industry experts and business leaders to participate, and build a high-end platform for enterprises to interpret policies, share experiences and connect resources.
  2. Global service network coordination: integrate international law firms, accounting firms, consulting institutions, industry associations and other resources to build a global service network and provide one-stop cross-border services for enterprises; According to the special needs of enterprises, provide personalized resource matching and collaborative services.

V. Frontier Policy and Legal Research Services

  1. Construction of national legal database: continuously collect and sort out laws and regulations, judicial precedents and policy trends of Belt and Road countries, establish national legal database, and provide real-time and accurate legal information retrieval services for enterprises.
  2. Special research and report: Conduct special research and publish industry reports on hot issues of cross-border investment (such as ESG compliance and digital trade rules) and emerging industries (such as new energy and artificial intelligence) to provide forward-looking decision-making reference for enterprises.
